Section 24
Accountability of the things written in the prospectus
: (1) It shall be the duty and responsibility of the concerned company to comply with the things written in the prospectus published in accordance with section 23.
(2) The responsibility for the things mentioned in the prospectus according to sub-section (1) will be the responsibility of the directors who have correctly printed the prospectus.
(3) If the prospectus has been published maliciously or knowingly stating false facts and if any person has suffered loss due to the purchase of securities based on the prospectus, then the director who printed the correctness in the prospectus shall personally bear the compensation for the actual loss. However, the director who resigns before the decision of the company regarding the publication of the prospectus, or who, knowing that false information is written in the prospectus, publishes the information in such a way that the general public knows before the sale or distribution of the securities, or proves that he did not know that the information written in the prospectus is false, shall bear such compensation. no
